Acceptance of these terms
These Terms of Service govern any engagement between Alfa Coders ("we", "us", "our") and a client ("you", "your") for website development, mobile app development, digital marketing, SEO, social media marketing, or graphics design services. By signing a proposal, paying an invoice, or otherwise instructing us to begin work, you accept these terms alongside the specific scope, pricing, and timeline set out in your project proposal.
Where anything in a signed proposal or statement of work conflicts with these general terms, the signed proposal takes precedence for that project.
Services we provide
We provide the following services, each described in full detail on our services pages, along with indicative pricing and typical delivery timelines:
- Website Development — corporate sites, ecommerce stores, and custom web applications.
- Mobile App Development — native and cross-platform Android and iOS apps.
- Digital Marketing — SEO, Google and Meta Ads, and content marketing as a combined retainer.
- SEO — technical, on-page, and local search engine optimization.
- Social Media Marketing — content, community management, and paid social.
- Graphics Design — brand identity, packaging, print, and marketing collateral.
The exact scope, deliverables, and exclusions for your project are defined in your written proposal, not by the general service descriptions on our website.
Proposals & project scoping
Every project starts with a scoping conversation and a written proposal covering what's included, what isn't, the price, and the estimated timeline. Work begins only once you've approved the proposal and, where applicable, paid the agreed deposit. Verbal agreements or informal chat messages don't replace a written, approved proposal.
Payment terms
- One-time projects (website builds, app builds, design work) are typically invoiced as a deposit before work begins, with the balance due on delivery or in milestone-based installments as set out in your proposal.
- Ongoing retainers (Digital Marketing, SEO, Social Media Marketing, and similar monthly services) are billed monthly in advance and run month-to-month unless otherwise agreed.
- Invoices are due within 7 days unless a different period is agreed in writing. Prices quoted exclude GST unless stated otherwise; applicable taxes are added at invoicing.
- Work may be paused, and ongoing retainers suspended, if an invoice remains unpaid 15 days past its due date, until the account is brought current.
- Third-party costs you authorize us to incur on your behalf — ad spend, domain registration, premium plugins, stock assets, and similar — are billed to you separately or added to your invoice at cost.
Revisions & change requests
The number of revision rounds included in a project is stated in your proposal or package. Requests that go beyond the agreed scope — new pages, new features, a change in direction after design sign-off — are treated as a change request and quoted separately before we proceed, so costs never appear on an invoice without your prior agreement.
Ownership & intellectual property
Once a project is paid in full, you own the deliverables created specifically for you under that project — source code, design files, copy, and other custom work product — and we transfer all associated intellectual property rights to you at that point.
- Until full payment is received, all work product remains the intellectual property of Alfa Coders.
- Third-party components we license or use on your behalf — fonts, stock photography, plugins, frameworks, platforms like WordPress or Shopify — remain subject to their own licenses, which we'll flag where relevant.
- We may retain the right to display completed work in our own portfolio and case studies unless you ask us in writing to keep a project confidential.
- General methods, frameworks, code snippets, and know-how we've developed independently of your project remain our property and may be reused on other projects.
Your responsibilities
To keep a project on schedule, you agree to:
- Provide content, brand assets, feedback, and approvals within the timeframes agreed at kickoff.
- Provide accurate access to any accounts we need (hosting, domains, ad platforms, analytics) to do the work.
- Ensure any content, trademarks, or assets you provide us don't infringe a third party's rights — you're responsible for the material you give us to use.
- Review deliverables and raise concerns within the review window stated in your proposal, since work is considered accepted if no feedback is received within that window.
Timelines & delays
Timelines in your proposal assume timely feedback, content, and access from your side. Delays caused by late content, slow approvals, or unavailable access will move the delivery date accordingly and are not treated as a missed deadline on our part. Where a delay is caused by us, we'll communicate it as early as possible and, where our on-time guarantee applies, absorb the additional work at no extra cost to you.
Ongoing & monthly retainers
Digital Marketing, SEO, Social Media Marketing, and similar retainer-based services run month-to-month. Either party may cancel with 30 days' written notice; work already invoiced for the current billing period is non-refundable, and any ad spend already committed for that period remains payable. There is no minimum contract length or early-termination penalty beyond the 30-day notice period.
Warranty & post-launch support
Unless stated otherwise in your proposal, we provide 30 days of free bug fixes after launch for defects in work we delivered — this covers things that don't work as specified, not new features or changes of direction. Support beyond that window, or ongoing maintenance, is available as a separate paid arrangement.
Limitation of liability
We aim to deliver work that meets the agreed scope and quality bar, but we can't guarantee specific business outcomes — search rankings, ad performance, sales, or app store approval timelines — since these depend on factors outside our control, including platform algorithm changes and third-party review processes.
To the extent permitted by law, our total liability arising from any project is limited to the total fees paid to us for that specific project in the 3 months preceding the claim. We aren't liable for indirect, incidental, or consequential losses, including lost profits or lost data, except where such limitation isn't permitted under applicable Indian law.
Confidentiality
Both parties agree to keep the other's confidential business information — pricing, strategy, credentials, unpublished work — private, and to use it only for the purposes of the engagement. This obligation continues after a project or retainer ends.
Termination
Either party may terminate a one-time project engagement for material breach that isn't fixed within 14 days of written notice. On termination, you pay for work completed up to that point, and we hand over whatever has been delivered and paid for. Retainer services follow the 30-day notice terms described above.
Governing law & jurisdiction
These terms are governed by the laws of India. Any dispute arising from an engagement with Alfa Coders is subject to the exclusive jurisdiction of the courts of Banaskantha, Gujarat, without regard to conflict-of-law principles.
Changes to these terms
We may update these general terms from time to time; the version in effect at the time you sign a proposal applies to that project. We'll post the current version here with an updated date.
